Chartered capital of the Company, formed upon its foundation, was 22,830,000 thousand rubles and consisted of 22,830,000,000 ordinary shares with nominal value of 1 (one) ruble each. Resolution on the issue and report on the results of issue of ordinary shares of the Public JSC «Volga TGC» were registered by FFMS of the RF on the 1st of November 2005, state registration number of the issue - 1-01-55113-Å. April 12, 2007. Report on the results of additional issue of ordinary shares of the Public JSC «Volga TGC» was registered (under state registration number 1-01-55113-Å-001D), which was placed by close subscription to a sole shareholder – Public JSC RAO «UES of Russia». In payment of his additional issue, the Company received 100% share holding of JSC «Orenburg Heat Generating Company». Relevant changes to the Charter of the Public JSC «Volga TGC» were registered on 24.04.07. See Notice published on the website of FFMS (paragraph14 of the Resolution of FFMS).
May 15, 2007. Federal Financial Market Service on Russian financial markets registered an additional issue and prospectus of ordinary non-documentary registered shares of the Public Joint Stock Company «Volga Territorial Generation Company» to be placed by conversion upon incorporation of Public JSC «Samara Territorial Generation Company », Public JSC «Saratov Territorial Generation Company » and Public JSC «Ulyanovsk Territorial Generation Company». July 3, 2007, Reports on the results of additional issues of ordinary shares of the Public JSC «Volga TGC» were registered, which were placed by conversion upon incorporation of Public JSC «Samara Territorial Generation Company», Public JSC «Saratov Territorial Generation Company» and Public JSC «Ulyanovsk Territorial Generation Company» into the Public JSC «Volga TGC». Notice published on the website of FFMS (paragraph 4 of the Resolution of FFMS).
